1. Job Purpose
To provide administrative support to the Board of Directors and associated committees. Execute streamlining of board communication and collaboration, overseeing logistics, documentation, feedback, planning, and compliance for enhanced governance and organizational success, providing comprehensive support to enhance board performance and uphold standards.
2. Position Accountability Description
Board Operations Management
- Formulate and maintain a comprehensive board operations manual to guide activities effectively, ensuring clarity and alignment with organizational objectives and regulatory standards. Incorporate regular staff input for continuous improvements and superior functionality, resulting in a more robust and user-friendly manual.
- Collaborate with executive leadership to meticulously draft, review, and finalize board meeting agendas and materials, incorporating feedback, fostering collaboration, and ensuring adherence to governance and compliance requirements.
- Arrange logistical details for board meetings, meticulously overseeing scheduling, venue selection, catering arrangements, technology setup, and promptly resolving any unforeseen challenges.
- Provide and distribute meeting materials to board members in advance, ensuring accuracy, timeliness, customization according to preferences, secure distribution channels, and thorough content coverage.
- Support board affairs director to analyze board meetings to record precise minutes, capturing nuanced discussions, decisions, action items, key points, highlighting follow-ups, and facilitating efficient dissemination and implementation of outcomes.
- Distribute prepared action plans coming out of the board & committees meetings to relevant parties and follow up on the implementation of action plans.
Document and Information Management
- Track an organized repository of board documents meticulously, ensuring systematic categorization, version control, security protocols, accessible data, confidentiality, and streamlined retrieval processes for enhanced operational efficiency.
- Undertake board member onboarding processes strategically, offering tailored induction sessions, facilitating informed access to pertinent resources, enabling seamless integration, fostering relationships, aligning with strategic goals, and promoting engagement.
- Contribute to and collect detailed feedback from directors to compile comprehensive reports, analyzing insights, trends, performance metrics, and areas for improvement, and presenting synthesized recommendations for concerned committee review and strategic decision-making.
- Analyze board member evaluations and self-assessment processes, compiling results, identifying areas for improvement, and recommending development opportunities to enhance board performance, while tracking progress, providing personalized feedback, and ensuring alignment with the board's goals.
Board Communication and Support
- Serve as the primary point of contact for board & committees inquiries, managing communications professionally, providing timely responses, clarifying information, addressing concerns skillfully, nurturing relationships, and upholding a positive board & committees experience.
- Support board affairs director to Aadvise Board and Committee members on tailored communications strategies, fostering effective interactions with internal and external stakeholders, enhancing transparency and alignment, fostering collaboration, and promoting a harmonious working environment for organizational success.
- Establish and maintain effective communication channels between the board and senior management, ensuring key information flows smoothly and providing timely updates on organizational performance and strategic initiatives.
Event Coordination
- Coordinate board retreats and strategic planning sessions, including agenda development, facilitator selection, and the creation of supporting materials to drive productive discussions and outcomes.
- Prepare a comprehensive annual calendar of board and committee activities, meetings, and events, ensuring alignment with organizational priorities and timely notification to all board members, incorporating feedback, key deadlines, and strategic milestones for optimal planning.
- Help to create and execute special board events, such as recognition ceremonies, award presentations, and networking opportunities, to foster camaraderie and appreciation among board members, coordinating guest speakers, thematic elements, and leveraging social media to highlight achievements.
Governance and Compliance
- Oversee the development and maintenance of a comprehensive board and committees members skills matrix, identifying gaps and recommending targeted recruitment to ensure a diverse and effective board, incorporating emerging competencies, succession planning needs, and strategic alignment with organizational goals.
- Support the Chairman in conducting board evaluations, compiling performance metrics, and providing actionable insights and recommendations for enhancing board effectiveness by facilitating post-evaluation discussions, addressing identified issues, clarifying roles, and setting clear improvement goals.
- Ensure compliance with all governance policies and procedures, conducting regular reviews, recommending updates, and ensuring adherence to ethical standards and legal requirements, while integrating best practices, stakeholder feedback, and proactive risk management strategies for continuous improvement. Ensure all rules and bylaws are adhered to by the board & committees members during meetings and in the implementation of their decisions.
Innovation and Continuous Improvement
- Continuously benchmark Board operations practices against industry standards, adopting improvements to enhance efficiency and governance effectiveness.
- Implement and monitor process improvements by analyzing current Board operations practices, identifying inefficiencies, and applying best practices to streamline workflows.
- Explore and adopt new technologies and tools that can improve Board operations, keeping the team at the forefront of innovation and efficiency.
- Foster a high-performance culture by striving for excellence and encouraging peers, contributing to the overall success and continuous improvement of the Board operations team.

3. Minimum Job Requirements
- Bachelor’s degree in Business Administration, Public Administration, Management, or a related field.
- 2 to 4 years of progressive experience in board management, corporate governance, compliance, legal or a related field.
